Welcome to the WowMix AI mobile application and its related services (collectively referred to as the "Software" or "Service"), provided and operated by Hong Kong Moktri Cultural Technology Limited. ("we", "our", or "us"). These Terms of Service (the "Agreement") constitute a legally binding contract between you ("User" or "you") and us. Please read this Agreement thoroughly before downloading, installing, accessing, or using the Software.

By downloading, installing, accessing, or using WowMix AI from the Apple App Store, Google Play Store, or any other authorized distribution platform, you acknowledge that you have read, understood, and agreed to be legally bound by all terms of this Agreement. If you do not agree to all terms of this Agreement, do not access or use the Software, and please delete and uninstall it from your device immediately.

1. Scope of License & Apple Standard EULA

1.1. Limited License: Subject to the terms and conditions of this Agreement, we grant you a personal, revocable, worldwide, non-exclusive, non-transferable, and non-sublicensable limited license to download, install, and execute WowMix AI on compatible mobile devices (including iOS and Android devices) that you legally own or control, solely for your personal, non-commercial use.

1.2. Apple Minimum Terms: To the extent that you access the Software via an Apple-branded product, you acknowledge and agree that this Agreement is concluded between you and Hong Kong Moktri Cultural Technology Limited. only, not with Apple Inc. ("Apple"). Apple has no obligation to furnish any maintenance or support services with respect to the Software. In the event of any conflict between this Agreement and the Apple Media Services Terms and Conditions or the Apple Standard End User License Agreement (EULA), the applicable Apple terms shall govern.

1.3. Restrictions on Use: You shall not, and shall not assist, encourage, or permit any third party to:

(a) Copy, lease, rent, sell, redistribute, sublicense, or commercially exploit the Software in whole or in part;
(b) Reverse engineer, decompile, disassemble, or attempt to derive the source code, underlying algorithms, or model weights of the Software;
(c) Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices;
(d) Circumvent, disable, or tamper with any digital rights management, technological protection, or security measures implemented within the Software;
(e) Use the Software for any purpose that violates applicable laws and regulations, breaches third-party rights, or threatens network security.

2. Intellectual Property Rights

WowMix AI, including but not limited to its source code, algorithmic models, user interface, layout design, icons, visual graphics, audio effects, and software assets, is exclusively owned by Hong Kong Moktri Cultural Technology Limited. or its legitimate licensors, and is protected under applicable international copyright, trademark, patent, and trade secret laws. Except for the express limited license granted herein, all statutory and common-law rights, titles, and interests are fully reserved by us.

3. On-Device AI Processing, Content Policy & Privacy

3.1. On-Device Local Processing Warranty:

In order to generate content, your selected photos, videos, and prompts will be processed locally on your mobile device, and the content generation will be completed entirely on your device. Your assets, prompts, and generated results will NOT be uploaded, NOR shared with any external servers or third-party services. All creative data is stored exclusively on your local device, and is used solely for processing the current request, returning generated outputs, and displaying your generation history locally on your device. You may delete your local generation history within the app at any time. Please only select, import, or upload locally assets and materials for which you hold full, valid rights and permissions. For more details, please refer to our Privacy Policy.

3.2. User Asset Warranty & Responsibility:

You are exclusively responsible for the media assets (photos, videos, prompts) you choose to process locally. You represent and warrant that you hold all necessary copyrights, personality rights, publicity permissions, and licenses for any content imported into the Software, and that your use does not violate or infringe upon any third party’s intellectual property, privacy, or legal rights.

3.3. Acceptable Use & AI Safety Rules:

You expressly agree NOT to use WowMix AI to generate, synthesize, or process:

(a) Any non-consensual sexual content, synthetic nude imagery, unauthorized deepfakes, or materials intended to defame, harass, or impersonate individuals;
(b) Any form of Child Sexual Abuse Material (CSAM) or child sexual exploitation and abuse;
(c) Hate speech, promotion of illegal acts, terrorist propaganda, self-harm, or incitement of violence;
(d) Content that infringes any trademark, patent, trade secret, copyright, or other proprietary rights of any party.

3.4. Nature of AI Outputs:

Due to the intrinsic characteristics of deep learning and generative AI algorithms, outputs (including AI filters, artistic effects, and video animations) may be stochastic, incomplete, or synthetic. Generated results are provided strictly for entertainment and personal creative exploration. You are advised to independently review all outputs and assume all risks associated with publicly displaying or distributing them.

4. Subscriptions & Paid Services (Apple & Google Play)

4.1. Billing & In-App Purchases:

WowMix AI may offer premium features (e.g., unlocked advanced AI models, premium filters, watermark-free high-definition exports) through auto-renewable subscriptions or one-time purchases. Depending on your operating system, payment will be charged directly to your Apple ID Account (via Apple In-App Purchase) or Google Account (via Google Play Billing) upon purchase confirmation. Pricing terms and billing cycles are clearly presented prior to checkout.

4.2. Auto-Renewal Terms:

Subscriptions automatically renew unless auto-renew is disabled at least twenty-four (24) hours before the end of the current billing period.
Your account will be charged for renewal within 24 hours prior to the expiration of the current cycle.
How to Cancel:
- iOS Users: Open iOS Settings -> Tap your Apple ID profile -> Tap Subscriptions -> Select WowMix AI -> Tap *Cancel Subscription*.
- Android Users: Open Google Play Store -> Tap your Profile Icon in the top right -> Tap Payments & subscriptions -> Tap Subscriptions -> Select WowMix AI -> Tap *Cancel subscription*.
Free Trials: Any unused portion of a free trial period will be forfeited immediately upon purchasing a subscription.

4.3. Refunds & Statutory Rights:

All refund requests are governed by the respective rules and refund flows established by Apple and Google. We do not have direct access or authority to refund payments made through these app stores.
- iOS users must submit refund requests through Apple’s portal: reportaproblem.apple.com.
- Android users must submit requests via the Google Play Help Center.
EU/UK Right of Withdrawal Waiver: If you are a consumer residing in the European Union or the United Kingdom, you expressly acknowledge and agree that digital content and services are made available immediately upon purchase. Consequently, you waive your statutory 14-day right of withdrawal for digital content once performance has commenced.

5. Age Requirements & Children’s Privacy

WowMix AI is not directed to children under the age of 13 (or under 16 where required under EU GDPR or local legislation). If you are under the legal age of majority in your jurisdiction, you may only access and use this Software with the express consent and under the active supervision of your parent or legal guardian.

6. Disclaimer of Warranties

to the maximum extent permitted by applicable law, WowMix AI and all associated services are provided on an "as is" and "as available" basis, with all faults and without warranty of any kind. we expressly disclaim all warranties, whether statutory, express, or implied, including without limitation the implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non‑infringement. we do not warrant that the service will be uninterrupted, timely, secure, or error‑free, nor do we warrant that any defects will be corrected.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Hong Kong Moktri Cultural Technology Limited., its directors, officers, employees, affiliates, agents, or licensors be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages (including but not limited to loss of profits, data corruption, device malfunction, or business interruption) arising out of or in connection with your use of or inability to use wowmix ai, regardless of the theory of liability (contract, tort, negligence, or otherwise), even if advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to this agreement or the software shall in no event exceed the total amount actually paid by you to us for wowmix ai in the twelve (12) months immediately preceding the claim.

8. Indemnification

You agree to defend, indemnify, and hold harmless Hong Kong Moktri Cultural Technology Limited., its affiliates, officers, directors, employees, and licensors from and against any third-party claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney fees) arising from:

(a) Your breach of any provision of this Agreement;
(b) Your improper, unauthorized, or unlawful use of the Software;
(c) The media, photos, or prompts you choose to process on-device that allegedly violate third-party intellectual property, privacy, or publicity rights.

9. Copyright Complaints & DMCA Notice

We respect the intellectual property rights of others. If you believe that any default template, asset, or material accessible within WowMix AI infringes your copyrighted work, please transmit a formal written notice to our designated Copyright Agent via email at wowmixai@outlook.com with the following details:

1. Identification of the copyrighted work claimed to have been infringed;
2. Identification of the allegedly infringing material with sufficient information to locate it;
3. Your contact information (full name, mailing address, telephone number, and email);
4. A statement that you have a good faith belief that use of the material is not authorized;
5. A statement made under penalty of perjury that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner.

10. Governing Law, Dispute Resolution & Class Action Waiver

10.1. Governing Law: This Agreement shall be governed by, interpreted, and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People's Republic of China, without regard to conflict of law principles.

10.2. Arbitration: Any dispute, controversy, difference, or claim arising out of or relating to this Agreement or the Software shall be submitted to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration shall be Hong Kong. The arbitration proceedings shall be conducted in English.

10.3. Class Action Waiver: To the fullest extent permitted by applicable law, all disputes must be brought in the parties' individual capacity and not as a plaintiff or class member in any purported class action, collective proceeding, or representative proceeding.

11. Severability & Entire Agreement

11.1. Severability: If any provision of this Agreement is held to be invalid, illegal, or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
11.2. Entire Agreement: This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and Hong Kong Moktri Cultural Technology Limited. regarding the Software and supersedes all prior agreements, representations, and understandings.
11.3. No Waiver: Our failure to enforce any right or provision of this Agreement shall not be considered a waiver of such right or provision.

12. Amendments & Termination

We reserve the right to revise or modify this Agreement at our sole discretion. If a revision is material, we will update the "Effective Date" at the top of this document or provide notice within the Software. Your continued access to or use of WowMix AI after any revisions become effective constitutes your unconditional agreement to be bound by the updated terms.
